TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern access to and use of the services and website operated by ININOVA LTD(trading as “INNOVA LTD”) (“Innova”, “we”, “us”, “our”). By using our website or enrolling in any program, you agree to be bound by these Terms.

1) SERVICES
1.1 We provide educational and cultural learning services, including online courses, coaching, workshops, retreats, and hybrid formats (“Programs”).
1.2 Programs support professional/personal development. They are not medical, psychological, or legal services and are not a substitute for therapy or medical treatment.
1.3 Outcomes depend on your engagement; we do not guarantee specific results.
2) ELIGIBILITY & CONDUCT
2.1 You must be 18+ to register, unless otherwise stated in a specific Program.
2.2 You agree to participate respectfully and comply with any Program guidelines, codes of conduct, and facilitator instructions.
3) BOOKINGS, FEES & PAYMENT
3.1 A booking is confirmed when we receive full payment or an agreed deposit/instalment plan and issue written confirmation.
3.2 Prices on the site may change; the price confirmed at checkout applies to your booking.
3.3 Some discounts (e.g., student) may be available at our discretion.
3.4 Payments are processed by third-party processors. We do not store full card details on our servers.
4) CANCELLATIONS, TRANSFERS & REFUNDS
4.1 Unless stated otherwise in a specific Program agreement, fees are non-refundable except where we cancel or materially change a Program.
4.2 You may request one transfer to a later cohort/date or another participant with at least 14 days’ notice and subject to availability. Additional admin fees may apply.
4.3 Failure to attend (no-show) forfeits the relevant session or fee.
4.4 If a force-majeure event (see §8) disrupts delivery, we may reschedule, move online, or issue a credit.
5) GROUP SETTINGS & CONFIDENTIALITY
5.1 We treat your personal information confidentially and in line with UK data law (see Privacy Notice).
5.2 In group settings, confidentiality by other participants cannot be legally guaranteed. You agree to share appropriately and respect others’ privacy.
6) WELLBEING & PERSONAL RESPONSIBILITY
6.1 You are responsible for your wellbeing and decisions before, during, and after Programs.
6.2 Inform us of any conditions relevant to safe participation. We may decline or discontinue participation if safety is at risk.
6.3 If you experience distress or a health concern, seek appropriate professional support.
7) INTELLECTUAL PROPERTY
7.1 All content, frameworks, materials, recordings, designs, and trademarks are owned by Innova or our licensors.
7.2 We grant you a personal, non-transferable licence to use materials solely for your own learning within the Program.
7.3 You must not copy, share, publish, record, or commercially exploit materials without our prior written consent.
8) FORCE MAJEURE
We are not liable for delay or non-performance due to events beyond our reasonable control (including but not limited to natural events, strikes, pandemic restrictions, government actions, power/telecom failures). We may modify delivery, reschedule, or issue a credit where appropriate.
9) LIMITATION OF LIABILITY
9.1 Nothing excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded.
9.2 Subject to 9.1, we are not liable for indirect or consequential loss, loss of profits, business, goodwill, or data.
9.3 Our total aggregate liability for any claim arising out of or in connection with a Program or these Terms is limited to the amount you paid for the affected Program.
10) USER CONTENT & FEEDBACK
10.1 If you provide feedback or testimonials, you grant us a non-exclusive, royalty-free licence to use them for internal improvement and (with your explicit consent) marketing.
10.2 You must not upload or share unlawful, infringing, or harmful content.
11) PRIVACY & DATA PROTECTION
11.1 We process personal data in accordance with UK GDPR and the Data Protection Act 2018.
11.2 See our Privacy Notice and Cookies Notice (linked in the website footer) for details of processing, legal bases, retention, and your rights.
12) THIRD-PARTY LINKS & TOOLS
We may link to third-party sites or use third-party tools. We are not responsible for their content, terms, or policies. Use them at your discretion.
13) CHANGES TO PROGRAMS / TERMS
13.1 We may make reasonable changes to Program content, schedules, or facilitators.
13.2 We may update these Terms at any time. The version posted on our website at the time of your booking applies to that booking unless we notify you otherwise.
14) GOVERNING LAW & JURISDICTION
These Terms and any dispute or claim (contractual or non-contractual) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
